Introduction
These Terms and Conditions ("Terms") are a legal agreement between you and QuietOffer LLC. They govern your access to and use of www.quietoffer.com and our related services. By creating an account or using the Services, you agree to these Terms and our Privacy Policy. Please read them carefully, including Section 15 (Limitation of Liability) and Section 17 (Dispute Resolution and Governing Law), which contain a binding arbitration agreement and class action waiver. If you do not agree, do not use the Services.
1. Definitions
"QuietOffer," "we," "us," or "our" means QuietOffer LLC, the owner and operator of www.quietoffer.com and related services (the "Services"). "User" or "you" means any individual or entity that accesses or uses the Services.
"Buyer Information" means buyer profiles, acquisition criteria ("buy boxes"), target markets, price ranges, statements, and related content displayed on the Services. "Transaction Information" means reported property sales and purchases displayed on the Services. "Pitch" means a property submission a User sends to a buyer or firm through the Services. "Content" means any information, documents, or materials displayed on or submitted to the Services.
2. Acceptance of Terms
By creating an account, checking the box to accept, or accessing or using the Services, you agree to be legally bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services. You consent to receive communications electronically and agree that electronic acceptance and signatures are legally binding.
3. Eligibility and Accounts
You must be at least 18 and able to form a binding contract. You may use the Services only for lawful business purposes. You agree to provide accurate, complete, and current information, and to keep it updated. You may sign in using a magic link or a third-party account such as LinkedIn or Google. You are responsible for your credentials and all activity under your account. Accounts are personal and may not be shared or transferred. Notify us promptly of any unauthorized use.
4. The Services
QuietOffer is a technology platform. We publish information about commercial real estate buyers, their stated criteria, and reported transactions, and we let registered Users submit Pitches. We may offer additional features in the future, such as listings, subscriptions, and promotional placements. We are not a broker, agent, dealer, lender, escrow agent, investment adviser, or attorney. We are not a party to, and do not facilitate the negotiation or closing of, any transaction between Users. No funds, deposits, or escrow flow through the Services. We do not provide brokerage, legal, tax, investment, or due-diligence advice.
Some features may be limited, metered, or require an account or subscription, including limits on the number of pages viewed or Pitches submitted. We may add, change, limit, or discontinue any feature at any time without liability.
5. Information on the Services
Buyer Information and Transaction Information are compiled from sources such as firm submissions, firm websites, press releases, and public records, using automated and manual methods. It may be incomplete, outdated, or inaccurate. A buyer's inclusion on the Services is not an endorsement, a representation that the buyer is active, qualified, funded, or interested, or a commitment to purchase or respond. Any "fit" or matching indicators are informational only. You are solely responsible for your own verification and due diligence before relying on any information or entering into any transaction.
6. Pitches
When you submit a Pitch, you represent and warrant that: (a) you have the right and authority to market the property and share the information submitted; (b) the information is accurate, complete, and not misleading; (c) you hold any license required by law to offer or market the property, and you comply with all applicable real estate, advertising, and anti-discrimination laws; and (d) your Pitch does not infringe any third party's rights or violate any confidentiality obligation.
You authorize us to store, review, hold, route, and deliver your Pitch and your contact information to the intended recipient and their authorized representatives, and to use it as described in our Privacy Policy. We may decline, hold, edit for formatting, delay, or remove any Pitch at our discretion. We do not guarantee that a Pitch will be delivered, read, or answered. Recipients are not bound by any confidentiality obligation to you by virtue of the Services, and we are not responsible for how recipients use information you submit. Do not submit information you are not willing to share with the recipient. Duplicate, irrelevant, spam, or bulk-solicitation Pitches are prohibited and may count against your usage limits.
7. Firm Profiles and Claims
If you claim or manage a firm profile, you represent that you are authorized to act for that firm. We may verify, approve, deny, or revoke claims at our discretion, including by confirming your work email domain. You are responsible for all Content you submit or approve on a firm's behalf and for keeping it accurate and current. If you believe information about your firm on the Services is inaccurate, claim the firm's profile to update its criteria, or contact support@quietoffer.com.
8. Acceptable Use and Data Restrictions
You agree not to:
- violate any law or third-party right, or submit unlawful, fraudulent, misleading, or infringing Content;
- use the Services to spam, harass, or solicit improperly, or contact people in ways that violate applicable law;
- scrape, crawl, harvest, bulk export, systematically copy, or republish any Content, or exceed usage or rate limits, by any means;
- build or support a competing database, directory, or service using the Services or Content, or sell, license, or redistribute Content;
- train, fine-tune, evaluate, or develop machine-learning, AI, or automated valuation models using Content;
- use Content to make decisions about eligibility for credit, insurance, employment, housing, or tenancy, or for any purpose regulated as consumer reporting;
- use Content to discriminate unlawfully;
- access accounts or data you are not authorized to access, share your account, or circumvent usage limits, access controls, or security features;
- remove, alter, obscure, or attempt to defeat any watermark, identifier, or access record, including through automated or AI tools;
- interfere with or disrupt the Services, including through denial-of-service attacks or by introducing viruses, malware, or other harmful code, or reverse engineer or attempt to extract source code;
- impersonate any person or entity or misrepresent your affiliation with any person or entity.
We may monitor use of the Services, and may suspend, block, or terminate violators. For violations of this Section 8, we may seek liquidated damages of up to USD 25,000 per incident, which the parties agree is a reasonable estimate of harm that is difficult to measure, together with injunctive relief and recovery of costs to the extent permitted by law.
9. Fees, Plans, and Sponsored Features
Some features may require payment now or in the future. Prices, billing intervals, renewal terms, and cancellation instructions will be displayed at checkout and in your account. Paid subscriptions renew automatically until canceled, and you may cancel through your account settings, effective at the end of the current billing period. Fees are non-refundable except where required by law. Payments are processed by Stripe, and you also agree to its terms. You are responsible for applicable taxes.
Subscription details. A valid payment method is required for paid plans. If a payment fails, we may suspend or limit your access until it is resolved. We may change fees, effective at the end of your then-current billing period, with reasonable advance notice so you can cancel before the change takes effect; continuing to use a paid plan after a change means you accept the new fee. We may offer free trials or promotions, which may be governed by additional terms that control if they conflict with these Terms, and we may modify or end them at any time. We may refuse or cancel any order because of errors in pricing or description, product availability, or suspected fraud or unauthorized transactions.
We may offer paid sponsored or promotional features (for example, boosted profiles, buy boxes, listings, or Pitches). Sponsored content will be labeled. We control placement, format, and eligibility, may reject or remove any promotion, and do not guarantee any views, responses, or results. Additional terms may apply when such features are offered.
10. Listings and Confidential Materials (When Available)
We may in the future offer features such as listings and access to confidential materials. This Section applies only when and to the extent we make those features available, and additional terms may apply.
Listings. Users who list a property represent that they have the authority and any license required by law to market it, that the listing is accurate, complete, and not misleading, and that it complies with applicable law. Listing users are solely responsible for their listings and for their dealings with interested parties. QuietOffer is not a party to any resulting transaction, does not act as a broker or agent, does not verify listings or interested parties, and does not guarantee interest, offers, or results. We may remove or unpublish any listing at any time.
Confidential materials and NDAs. Some listings or materials may require a viewer to accept a confidentiality agreement before access. Unless we expressly say otherwise, that agreement is between the listing user and the viewer; QuietOffer is not a party and is not responsible for enforcing it or for any breach. We may record acceptance of and access to confidential materials, and may apply identifying watermarks to materials you view or download, such as your name, company, and a timestamp. Watermarks and access records are a good-faith deterrent and record-keeping measure, not a guarantee of protection, and they can be defeated. We cannot prevent copying, screenshots, removal of watermarks, or disclosure by users, and we are not liable for them. You agree to comply with any confidentiality agreement you accept and may lose access if we suspect a breach. Except where such an agreement applies, nothing on the Services creates a confidentiality obligation on any recipient (see Section 6).
11. Your Content
You retain ownership of Content you submit. You grant QuietOffer a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, display, distribute, and use that Content to operate, promote, and improve the Services and to deliver Pitches, subject to your visibility settings and our Privacy Policy. You represent that you have the rights needed to grant this license. We may, but are not obligated to, monitor, review, edit, or remove any Content. If you give us feedback or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or compensation to you.
12. Intellectual Property
QuietOffer owns or licenses the Services, including the software, compiled databases, design, logos, and other materials, and all related intellectual property rights. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for your internal business purposes in accordance with these Terms. QuietOffer's name, logos, and trademarks may not be used without our prior written consent. Third-party names and logos belong to their owners and are used for identification only. Except as expressly permitted, you may not copy, modify, distribute, or create derivative works from the Services.
Copyright notices. Copyright owners may send notices of alleged infringement to QuietOffer LLC, dmca@quietoffer.com. Notices should include the information required by 17 U.S.C. § 512(c)(3). We may remove material and terminate repeat infringers. Counter-notices under § 512(g) will be handled as the statute provides.
13. Third-Party Services
The Services may link to or integrate third-party services (such as maps, sign-in providers, and payment processors). We do not control and are not responsible for them, and your use is subject to their terms.
14. Disclaimers
THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUIETOFFER DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; THAT ANY INFORMATION IS ACCURATE, COMPLETE, OR CURRENT; THAT ANY PITCH WILL BE RECEIVED OR ANSWERED; OR THAT ANY TRANSACTION WILL OCCUR. WE ARE NOT RESPONSIBLE FOR THE CONDUCT OF ANY USER, BUYER, OR OTHER THIRD PARTY. NOTHING IN THIS SECTION AFFECTS ANY WARRANTY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUIETOFFER AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DEALS, LOST DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THEIR POSSIBILITY. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF (i) THE AMOUNTS YOU PAID TO QUIETOFFER IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (ii) USD 1,000. These limits apply regardless of the legal theory and do not limit liability that cannot be limited under applicable law.
16. Indemnification
You agree to indemnify, defend, and hold harmless QuietOffer and its affiliates, officers, employees, and agents from third-party claims, losses, and expenses (including reasonable attorneys' fees) arising out of: your Content or Pitches; your breach of these Terms or applicable law; your violation of any third party's rights; your dealings with other Users; or your scraping, misuse of data, or unauthorized use of the Services. We may assume control of the defense of any claim, and you may not settle any claim that imposes obligations or admissions on QuietOffer without our written consent.
17. Dispute Resolution and Governing Law
Governing law. These Terms are governed by the laws of the Commonwealth of Massachusetts and, where applicable, the Federal Arbitration Act, without regard to conflict-of-laws principles.
Informal resolution. Before starting a claim, you agree to email support@quietoffer.com with a description of the dispute and give us 30 days to try to resolve it.
Binding arbitration. Except as stated below, any dispute arising out of or relating to these Terms or the Services will be resolved by final and binding arbitration administered by the American Arbitration Association ("AAA") under its applicable rules, in Boston, Massachusetts (or by video conference if the parties agree). Judgment on the award may be entered in any court of competent jurisdiction.
Class action and jury trial waiver. Claims must be brought only in an individual capacity, and not as a plaintiff or class member in any class, collective, or representative proceeding. YOU AND QUIETOFFER EACH WAIVE THE RIGHT TO A JURY TRIAL.
Exceptions. Either party may bring an individual claim in small claims court. QuietOffer may seek injunctive or other equitable relief in any court of competent jurisdiction for misappropriation of intellectual property, data scraping, or breach of Section 8. Any dispute not subject to arbitration will be brought exclusively in the state or federal courts located in Suffolk County, Massachusetts, and you consent to their jurisdiction.
18. Termination and Suspension
You may stop using the Services or close your account at any time. We may suspend or terminate your access at any time for any reason, including violations of these Terms or law. Termination does not relieve you of obligations incurred before termination, including unpaid fees. Sections that by their nature should survive will survive, including those on Content licenses, intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution.
19. Changes to These Terms or the Services
We may update these Terms from time to time. We will post the update with a new "Last Updated" date and, for material changes, give at least 30 days' notice (for example, by email or notice in the Services) before they take effect. We may ask you to accept updated Terms to continue. Continued use after the effective date means you accept the revised Terms.
20. General
Compliance. You represent that you are not on any U.S. restricted-party list and will not use the Services in violation of U.S. export or sanctions laws. Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control. Assignment. You may not assign these Terms without our consent; we may assign them freely. Notices. We may give notice by email or through the Services. Additional terms. Certain features, such as listings, paid subscriptions, or confidentiality agreements, may be subject to additional terms that we will present when you use them. Those terms are incorporated into these Terms and control for that feature if there is a conflict. Entire agreement. These Terms, the Privacy Policy, and any additional terms you accept make up the entire agreement and supersede prior understandings. Severability and waiver. If any provision is unenforceable, the rest remains in effect, and failure to enforce a provision is not a waiver. No third-party beneficiaries.
